Abu Dhabi, United Arab Emirates – TheNewswire - December 1, 2025– Falcon Energy Materials plc (TSX-V: FLCN) (OTCQB: FLCNF) (“Falcon& or the “Company&) today announced that, pursuant to its Stock Option Plan and subject to regulatory acceptance, the Company has granted 3,273,154 incentive stock options to officers, directors and consultants of the Company, subject to vesting provisions. These options will be exercisable at a price equivalent to the closing price of the common shares of the Company on the TSX Venture Exchange (the “TSXV&) on November 28, 2025 and will expire on November 28, 2035.

Furthermore, in connection with services rendered by the Directors during the calendar year 2025, the Company has issued 442,308 Deferred Share Units (“DSUs&) to its Directors. In accordance with the Company&s Amended and Restated Long-Term Incentive Plan, the DSUs were priced based on the 5 day VWAP ending November 28, 2025 of the Company&s common shares on the TSX Venture Exchange.
