Vancouver, Canada – April 22, 2025 –TheNewswire - Aztec Minerals Corp. (AZT: TSX-V, OTCQB: AZZTF) (“Aztec& or the “Company&) announces that it intends to complete a non-brokered private placement (the “Private Placement&) of up to 16,666,667 units (“Units&) at a price of CAD$0.18 per Unit for gross proceeds of up to CAD$3,000,000. Each Unit will be comprised of one common share of the Company and one half of one transferable common share purchase warrant (“Warrants&). Each whole Warrant will be exercisable to purchase one common share of the Company at a price of CAD$0.24 per share for a period of three years from the closing date of the Private Placement.

In connection with the non-brokered private placement, the company has appointed Research Capital Corporation as Finder and Advisor.

The Company intends to use the proceeds of the Private Placement to conduct exploration work on its Tombstone gold-silver & CRD silver-lead-zinc-copper-gold project in Arizona, USA, and its Cervantes gold-copper project in Sonora, Mexico, as well as for general working capital purposes.

The Private Placement is subject to the approval of the TSX Venture Exchange, and all securities issued thereunder will be subject to a statutory hold period of four months and one day from the closing of the Private Placement. Finder&s fees may be payable in connection with the Private Placement, all in accordance with the policies of the TSX Venture Exchange and applicable securities laws.
